Parties to This Agreement
This Service Agreement ("Agreement") is entered into between:
**Service Provider:** 2-Nice Rideshare & Carpooling Transport Services Inc., a corporation incorporated under the laws of Manitoba, Canada, operating the platform RideCarpooling.com ("Company", "we", "us", "our").
**Service User:** Any individual or entity that registers for, accesses, or uses the RideCarpooling.com platform ("User", "you", "your").
By creating an account or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.
Scope of Services
The Company provides the following services through the RideCarpooling.com platform:
**Core Platform Services:**
- Ride matching and booking technology connecting drivers with available seats to passengers
- Secure payment processing and escrow services via Stripe and PayPal
- Identity verification and driver background screening
- In-app messaging with privacy protection (masked phone numbers)
- Real-time GPS tracking for active rides
- Rating and review system for quality assurance
- Push notifications, email, and SMS alerts
**Driver Services:**
- Ride posting and management tools
- Passenger booking management and approval workflows
- Earnings tracking and payout processing
- Vehicle and document verification portal
- Driver performance analytics dashboard
**Passenger Services:**
- Advanced ride search with filters (price, date, verified drivers, amenities)
- Seat booking with instant or request-based approval
- Booking history and receipt management
- Saved rides and price alert notifications
- Emergency contact and safety features
**Support Services:**
- Live chat support during business hours
- Email support (support@ridecarpooling.com)

- AI-powered help assistant available 24/7
Service Fees & Pricing
**Platform Service Fee:**
The Company charges a service fee on each completed booking. This fee is:
- Deducted from the total booking amount before driver payout
- 29.99% of the ride price (drivers keep 70.01%)
- Displayed transparently at checkout before payment is confirmed
- Non-refundable once a ride is completed
**Driver Payout Schedule:**
- Earnings are held for 48 hours after ride completion (dispute protection window)
- Payouts are processed to the driver's linked PayPal account or bank account
- Processing time: 3–5 business days after payout request
- Minimum payout threshold: $25 CAD
- No fees charged to drivers for receiving payouts
**Passenger Pricing:**
- Ride prices are set by drivers and displayed in Canadian Dollars (CAD)
- Payment is collected at time of booking
- Stripe processing fees are included in the displayed price
**Price Changes:**
The Company reserves the right to modify service fee percentages with 30 days' notice to active users.
Company Obligations
The Company agrees to:
**Platform Availability:**
- Maintain the Platform with a target uptime of 99.5% (excluding scheduled maintenance)
- Provide advance notice of planned maintenance windows where possible
- Restore service promptly in the event of unplanned outages
**Data Protection:**
- Process personal data in accordance with our Privacy Policy and applicable law
- Implement industry-standard security measures to protect user data
- Notify users of data breaches as required by applicable law
**Payment Security:**
- Process all payments through PCI DSS-compliant payment processors
- Hold passenger funds in escrow until ride completion
- Process refunds in accordance with our Cancellation Policy
**Support:**
- Provide customer support via email, WhatsApp, and live chat
- Respond to support inquiries within 48 business hours
- Mediate disputes between drivers and passengers fairly
**Verification:**
- Review driver verification documents within 5 business days
- Notify drivers of verification status and any required corrections
User Obligations
As a User of the Platform, you agree to:
**Account Responsibilities:**
- Provide accurate, complete, and current information at registration and keep it updated
- Maintain the security of your account credentials
- Not share your account with others or allow unauthorized access
- Notify us immediately of any suspected unauthorized account use
**Driver-Specific Obligations:**
- Maintain a valid driver's license and vehicle insurance at all times
- Keep vehicle registration and safety inspections current
- Arrive at pickup locations on time and as agreed
- Maintain a vehicle that is clean, safe, and roadworthy
- Not drive under the influence of alcohol, drugs, or any impairing substance
- Carry no more passengers than your vehicle's rated capacity
**Passenger-Specific Obligations:**
- Be at the agreed pickup location at the scheduled time
- Treat drivers and their vehicles with respect
- Not bring prohibited items (weapons, illegal substances, excessive luggage beyond agreed)
- Pay the agreed fare through the Platform only — no cash side deals
**General Conduct:**
- Treat all users with respect and dignity
- Not engage in harassment, discrimination, or abusive behavior
- Report safety concerns or violations to support immediately
- Comply with all applicable laws during rides
Cancellation & Refund Policy
**Driver Cancellations:**
- If a driver cancels a confirmed booking, the passenger receives a full refund
- Drivers who cancel frequently may have their accounts restricted
- Cancellations must be made through the Platform — not via direct message
**Passenger Cancellations:**
- More than 24 hours before departure: Full refund minus platform service fee
- 12–24 hours before departure: 50% refund
- Less than 12 hours before departure: No refund
- No-show at pickup location: No refund
**Exceptional Circumstances:**
- Medical emergencies with documentation: Full refund at Company discretion
- Natural disasters or government travel restrictions: Full refund
- Platform technical failures preventing booking: Full refund
**Refund Processing:**
- Refunds are processed to the original payment method
- Processing time: 5–10 business days depending on your bank
- Stripe refunds may take 5–7 business days to appear on your statement
Liability & Indemnification
**Company Liability:**
The Company is a technology platform and is not liable for:
- Accidents, injuries, or property damage occurring during rides
- Actions or omissions of drivers or passengers
- Delays, cancellations, or route changes
- Loss of personal property during rides
- Indirect, consequential, or punitive damages
**User Indemnification:**
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of this Agreement
- Your violation of any third-party rights
- Any accident or incident during a ride you participated in
**Insurance:**
- Drivers are solely responsible for maintaining adequate insurance
- The Company does not provide insurance coverage for rides
- Passengers are advised to verify driver insurance before booking
Data Usage & Privacy
**Data Collection:**
By using the Platform, you consent to the collection and processing of your personal data as described in our Privacy Policy, including:
- Identity and contact information
- Location data during active rides (with your permission)
- Payment and transaction data
- Usage analytics (with your consent via cookie settings)
**Data Sharing:**
We share data between drivers and passengers only as necessary to facilitate bookings:
- First name and profile photo: visible to matched users
- Phone number: shared only after booking confirmation, via masked calling
- Exact address: shared only after booking confirmation
**Data Retention:**
We retain your data as described in our Privacy Policy. You may request deletion of your account and associated data at any time.
**Third-Party Services:**
We use Stripe, PayPal, Twilio, and Google Analytics. Each has their own privacy policies governing their data use.
Agreement Termination
**Termination by User:**
You may terminate this Agreement at any time by deleting your account through Profile Settings. Termination does not affect any obligations arising from completed or pending bookings.
**Termination by Company:**
We may terminate or suspend your access immediately, without notice, for:
- Material breach of this Agreement or our Terms & Conditions
- Fraudulent, abusive, or illegal activity
- Repeated safety violations or negative ratings
- Failure to maintain required verification documents
- Any activity that harms other users or the Platform
**Effect of Termination:**
Upon termination:
- Your access to the Platform ceases immediately
- Pending bookings may be cancelled with appropriate refunds
- Earned but unpaid driver earnings will be paid out within 30 days
- Your data will be handled per our Privacy Policy retention schedule
Governing Law & Jurisdiction
**Governing Law:**
This Agreement is governed by and construed in accordance with the laws of the Province of Manitoba, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.
**Jurisdiction:**
Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Winnipeg, Manitoba, Canada.
**Dispute Resolution Process:**
1. Informal resolution: Contact support@ridecarpooling.com within 30 days of the dispute arising
2. Mediation: If informal resolution fails, parties agree to attempt mediation before litigation
3. Litigation: If mediation fails, disputes may be brought before the courts of Winnipeg, Manitoba
**Class Action Waiver:**
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration against the Company.
Amendments & Updates
**Right to Amend:**
The Company reserves the right to modify this Agreement at any time. We will provide notice of material changes by:
- Posting the updated Agreement on this page with a revised "Last Updated" date
- Sending an email notification to registered users at least 30 days before changes take effect
- Displaying an in-app notification for significant changes
**Acceptance of Changes:**
Your continued use of the Platform after the effective date of changes constitutes your acceptance of the revised Agreement. If you do not agree to the changes, you must stop using the Platform and delete your account.
**Version History:**
Previous versions of this Agreement are available upon request by contacting legal@ridecarpooling.com.
