By accessing or using RideCarpooling.com ("the Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and 2-Nice Rideshare & Carpooling Transport Services Inc. ("we", "us", "our"). We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

You must be at least 18 years old to use the Platform. By registering, you represent and warrant that: - You are 18 years of age or older - You have the legal capacity to enter into binding contracts - The information you provide is accurate, complete, and current - You will maintain the accuracy of your information and update it promptly You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

RideCarpooling.com is a peer-to-peer carpooling platform that connects drivers with empty seats to passengers travelling in the same direction. We do not provide transportation services ourselves — we facilitate connections between independent users. **For Drivers:** - You may post rides with available seats, set prices, and accept passenger bookings - You are responsible for ensuring your vehicle is safe, insured, and roadworthy - You must hold a valid driver's license appropriate for your vehicle class **For Passengers:** - You may search for rides, book seats, and coordinate pickup with drivers - You agree to be at the agreed pickup location at the scheduled time - You agree to behave respectfully and follow the driver's reasonable requests

**Pricing:** - Drivers set their own prices per seat. The Platform does not control pricing. - All prices are displayed in Canadian Dollars (CAD) unless otherwise noted. - A platform service fee (typically 10-15%) is added to each booking and collected by us. **Payment Processing:** - Payments are processed securely through Stripe or PayPal. - Passengers pay at the time of booking. Funds are held until the ride is completed. - Drivers receive payouts to their linked PayPal account or bank account within 3-5 business days after ride completion. **Refunds:** - Full refund if the driver cancels the ride - Partial refund based on our Cancellation Policy if the passenger cancels - No refund if the passenger is a no-show at the pickup location

You agree not to engage in any of the following prohibited activities: - Providing false information or impersonating another person - Using the Platform for commercial transportation services (taxi, limo, etc.) - Discriminating against users based on race, religion, gender, sexual orientation, disability, or national origin - Harassing, threatening, or abusing other users - Sharing personal contact information before a booking is confirmed - Soliciting payments outside the Platform - Posting rides with vehicles that are uninsured, unregistered, or unsafe - Driving under the influence of alcohol or drugs - Carrying illegal substances or weapons - Using the Platform for any illegal purpose Violation of these rules may result in account suspension or termination, and may be reported to law enforcement where appropriate.

**Driver Verification:** - Drivers must complete identity verification before posting rides - Required documents: valid driver's license, vehicle registration, insurance proof - We reserve the right to reject verification applications and remove unverified drivers **Passenger Safety:** - All users are rated after each trip. Low-rated users may be restricted from the Platform. - Emergency contact information can be added to your profile for safety purposes. - In-app messaging and masked calling protect your phone number. - We encourage users to share trip details with a trusted contact. **Disclaimer:** While we take verification and safety seriously, we cannot guarantee the behavior of individual users. You use the Platform at your own risk. Please read our Safety Guidelines for best practices.

**Platform Role:** RideCarpooling.com is a technology platform that facilitates connections between drivers and passengers. We are not a transportation company, employer, or agent of either drivers or passengers. **No Warranty:** The Platform is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, secure, or error-free. **Liability Cap:** To the maximum extent permitted by law, our total liability to you for any claims arising from or related to the Platform shall not exceed the total amount you paid to us in the 12 months preceding the claim, or $500 CAD, whichever is greater. **Exclusion of Consequential Damages:** In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or personal injury, arising out of or in connection with the Platform.

**Driver Insurance:** - Drivers must maintain valid auto insurance that covers passenger transport in their jurisdiction - We do not provide insurance coverage. You are responsible for verifying your own coverage. - Some jurisdictions may require commercial or rideshare-specific insurance. It is your responsibility to comply with local laws. **Vehicle Requirements:** - Vehicle must be registered and pass safety inspections as required by local law - Vehicle must have working seatbelts for all passengers - Vehicle must be clean, well-maintained, and free of safety hazards **Accidents:** In the event of an accident during a ride, the driver's insurance is primary. We are not responsible for damages, injuries, or claims arising from accidents.

All content on the Platform, including text, graphics, logos, images, software, and code, is the property of 2-Nice Rideshare & Carpooling Transport Services Inc. or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not: - Copy, modify, distribute, or create derivative works from Platform content without our written permission - Use our trademarks, logos, or branding without authorization - Scrape, crawl, or use automated means to access the Platform - Reverse engineer any part of the Platform User-generated content (ride posts, reviews, messages) remains your property, but you grant us a worldwide, royalty-free license to use, display, and distribute it on the Platform.

**By You:** You may delete your account at any time from your Profile settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. **By Us:** We may suspend or terminate your account immediately, without notice, for: - Violation of these Terms - Fraudulent, abusive, or illegal activity - Repeated negative ratings or safety violations - Failure to complete verification requirements - Any other reason at our sole discretion **Effect of Termination:** Upon termination, your right to use the Platform ceases immediately. Any pending bookings may be cancelled. You remain liable for any amounts owed prior to termination.

**Informal Resolution:** We encourage users to resolve disputes directly with each other. If a dispute arises between a driver and passenger regarding a ride, payment, or behavior, both parties should first attempt to resolve it through in-app messaging. **Platform Mediation:** If informal resolution fails, you may contact our support team at support@ridecarpooling.com. We will review the situation and may take action including refunds, account restrictions, or bans. **Governing Law:** These Terms are governed by the laws of the Province of Manitoba, Canada, without regard to conflict of law principles. **Jurisdiction:** Any legal action arising from these Terms shall be brought exclusively in the courts of Winnipeg, Manitoba, Canada.
